Binding Legal Agreement

Please Read These Terms in Their Entirety Before Using Any Portion of This Platform.

These Terms of Service constitute a legally binding contract between you and SIMPLETRADES LLC. By accessing, registering, or subscribing to the Platform in any capacity, you unconditionally agree to be bound by all provisions herein. These Terms contain a mandatory arbitration clause and a class action waiver that affect your legal rights.

Section 01

Introduction and Scope of Contract

These Master Terms of Service ("Terms") constitute a legally binding and enforceable agreement executed between you ("Subscriber", "User", "Member") and SIMPLETRADES LLC ("Company", "We", "Us", "Our"), a Delaware limited liability company.

By accessing, browsing, registering for, subscribing to, or in any manner using the proprietary web interface, software portals, signal delivery systems, or data dissemination platforms operated by SIMPLETRADES (collectively, the "Platform"), you unconditionally and explicitly agree to be legally bound by these Terms in their entirety, together with our Privacy Policy and Financial Disclaimer, each of which are incorporated herein by reference.

If you do not agree to these Terms in full, you are strictly prohibited from accessing or using any portion of the Platform and must immediately discontinue all use.

Section 02

Intellectual Property, Subscription Controls & Anti-Piracy Covenants

All data sequences, analytical frameworks, mathematical alert algorithms, real-time structured signals (incorporating exact entry points, stop-loss triggers, target benchmarks, and break-even indicators), weekly market analysis reports, educational content, proprietary software architecture, and all associated intellectual property (collectively, the "Proprietary Content") are the exclusive, legally protected intellectual property of SIMPLETRADES LLC, protected under applicable U.S. and international copyright, trademark, and trade secret laws.

Subscriptions are issued solely for individual, non-commercial, single-user internal consumption. Each subscription credential is strictly non-transferable and may not be shared, sold, or otherwise distributed to any third party.

Subscribers are strictly and irrevocably prohibited from: copying, screen-recording, automated scraping, mirroring, re-transmitting, broadcasting, republishing, or structurally redistributing any portion of the Proprietary Content to any external third party, Discord server, Telegram channel, social media platform, investment group, or chat medium of any nature.

Any material violation of these intellectual property covenants will result in: immediate and permanent account termination without refund, forfeiture of all paid membership fees, and the immediate initiation of legal claims for compensatory damages, statutory copyright and trademark infringement penalties, and injunctive relief, filed in the Court of Chancery of the State of Delaware.

Section 03

Automated Billing, Renewal Structures & Payment Terms

All premium memberships, subscription products, and access renewals operate via automated, recurring, pre-authorized billing protocols managed exclusively through certified third-party payment processing gateways, including Stripe, Inc. By subscribing, you authorize SIMPLETRADES to charge your designated payment method on a recurring basis at the subscription rate applicable to your selected billing cycle.

Subscriptions will auto-renew automatically at the conclusion of each billing term (monthly or annual, as selected) unless manually cancelled by the Subscriber through their administrative account dashboard prior to the scheduled renewal processing date. Cancellation requests submitted after the renewal date has processed will take effect at the conclusion of the then-current billing cycle.

IMPORTANT. NON-REFUND POLICY: ALL subscription acquisitions, access charges, premium upgrade fees, and renewal billing transactions are strictly non-refundable under all circumstances, except where expressly required by applicable consumer protection law. The Company does not execute retroactive, pro-rated, or partial refunds for any unused portion of an active subscription cycle, including in the event of voluntary cancellation, account suspension for Terms violations, or service interruption attributable to third-party infrastructure.

SIMPLETRADES reserves the right to modify subscription pricing at any time, with a minimum of thirty (30) days' advance written notice to active Subscribers. Continued use of the Platform following a price change notification constitutes your acceptance of the updated pricing structure.

Section 04

Eligibility, Account Security & User Responsibilities

To access and use the Platform, you represent and warrant that: (i) you are at least 18 years of age and possess the full legal capacity to enter into binding contractual agreements; (ii) you are a resident or legal entity of the United States of America; (iii) your access and use of the Platform complies with all applicable federal, state, and local laws and regulations; and (iv) you are not a resident of any jurisdiction where access to financial information services of this nature is prohibited.

You are solely and exclusively responsible for: maintaining the strict confidentiality of your account credentials; all activities occurring under your account, whether authorized or unauthorized; immediately notifying SIMPLETRADES of any unauthorized account access or security breach; and ensuring that all account registration information remains accurate, current, and complete at all times.

SIMPLETRADES reserves the right to suspend, restrict, or permanently terminate any account, at its sole and absolute discretion, for conduct that violates these Terms, constitutes fraudulent or abusive behavior, or threatens the integrity, security, or reputation of the Platform or its user community.

Section 05

Limitation of Liability: Delaware Shield Clause

TO THE ABSOLUTE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE MUNICIPAL, STATE, AND FEDERAL LAWS, THE COMPANY, ITS MANAGING DIRECTORS, CORPORATE SHAREHOLDERS, OFFICERS, PRINCIPALS, REMOTE EMPLOYEES, INDEPENDENT CONTRACTORS, STRATEGIC AFFILIATES, AND TECHNICAL SYSTEM ADMINISTRATORS SHALL UNDER NO SET OF FACTS, LEGAL THEORIES, OR TORT OBLIGATIONS (INCLUDING BUT NOT LIMITED TO NEGLIGENCE, GROSS NEGLIGENCE, STRICT LIABILITY, OR BREACH OF FIDUCIARY DUTY) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, COLLATERAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

This absolute limitation of liability includes, without restriction: total or partial financial trading losses, brokerage account capital depreciation or margin liquidation, loss of transactional profits or anticipated revenue, destruction or diminution of portfolio value, systemic data deletions, service interruption or platform downtime, or any other financial or non-financial harm arising from or related to your use of or reliance upon the Platform.

IN NO EVENT SHALL THE TOTAL AGGREGATE FINANCIAL LIABILITY OF THE COMPANY FOR ANY CLAIMS, DISPUTES, OR ACTIONABLE CAUSES ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE EXACT TOTAL AMOUNT PAID BY THE SPECIFIC USER TO THE COMPANY FOR THE SINGLE CALENDAR MONTH IMMEDIATELY PRECEDING THE ACCRUED CLAIM.

Section 06

Mandatory Binding Individual Arbitration & Class Action Waiver

Any dispute, controversy, or claim arising out of or fundamentally relating to these Terms, the Platform, the Proprietary Content, or the signal delivery systems, regardless of the legal theory under which such claim is asserted, shall be exclusively and finally resolved by binding, individual arbitration conducted in the State of Delaware.

Such arbitration shall be administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules, before a single neutral arbitrator possessing demonstrated expertise in commercial and financial services law. The arbitrator shall have exclusive authority to determine the scope, validity, and enforceability of this arbitration provision.

CLASS ACTION WAIVER: YOU EXPLICITLY, KNOWINGLY, AND IRREVOCABLY WAIVE ANY AND ALL RIGHTS TO PARTICIPATE AS A NAMED PLAINTIFF, CLASS MEMBER, OR COLLECTIVE REPRESENTATIVE IN ANY CLASS ACTION LAWSUIT, MASS ARBITRATION PROCEEDING, REPRESENTATIVE ACTION, OR ANY OTHER FORM OF CONSOLIDATED OR COLLECTIVE LITIGATION AGAINST THE COMPANY, ITS AFFILIATES, OFFICERS, OR EMPLOYEES.

Judgment upon any arbitration award may be entered and enforced in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. §§ 1-16) shall govern the interpretation and enforcement of this arbitration clause in all respects.

Section 07

Governing Law, Jurisdiction & Severability

These Terms, and all disputes arising out of or related to these Terms or the Platform, shall be governed exclusively by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions or principles.

To the extent any matter is not subject to binding arbitration under Section 06, the parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware for the resolution of any such dispute.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, or unenforceable, that specific provision shall be deemed severed from these Terms, and all remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

SIMPLETRADES reserves the right to modify, update, or amend these Terms at any time by posting a revised version on the Platform. Your continued use of the Platform following any such modification constitutes your binding acceptance of the amended Terms. It is your responsibility to review these Terms periodically.

Agreement & Acceptance

By continuing to access or use any portion of the SIMPLETRADES platform, including, without limitation, registering an account, initiating or maintaining a subscription, or viewing any signal or analysis, you confirm that you have read, understood, and irrevocably agreed to these Terms of Service in their entirety.
