Disclaimer

Important Notice

Please Read This Entire Disclaimer Carefully Before Accessing or Using Any Portion of This Platform.

All content, signals, analysis, and alerts distributed through SIMPLETRADES are strictly for informational and educational purposes only. Trading stocks and options involves an extraordinarily high level of risk. The risk of total loss of principal capital and the complete liquidation of an entire trading account is a real and material possibility. You agree that you operate entirely at your own independent discretion and risk.

Section 01

Educational and Informational Characterization Only

The platform, including all real-time software alerts, parameters (such as entry levels, stop-loss triggers, target benchmarks, and break-even zones), and regular weekly market analysis (collectively, the "Services"), are provided entirely as impersonal, general information for educational and informational purposes only.

No component of the Services constitutes, or should be interpreted as, individualized, custom-tailored financial, investment, legal, tax, or accounting advice of any kind. The platform does not consider the personal investment objectives, unique financial situations, risk tolerance thresholds, liquidity requirements, tax implications, or specific capital structures of any individual user or member. All content is general in nature and is not a solicitation or offer to buy or sell any security or financial instrument.

Section 02

Publisher's Safe Harbor Status & Non-Advisor Representation

SIMPLETRADES operates strictly within the scope of the "publisher's exclusion" as defined under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and corresponding state-level securities statutes.

SIMPLETRADES is not, and does not represent itself to be, a registered investment advisor (RIA), a licensed broker-dealer, a registered options specialist, an institutional fund director or portfolio manager, or a certified commodity trading advisor (CTA) registered with either the U.S. Securities and Exchange Commission (SEC) or the Commodity Futures Trading Commission (CFTC).

SIMPLETRADES does not accept, solicit, manage, handle, pool, administer, or direct any individual or collective consumer trading capital, margin accounts, retirement accounts, or brokerage assets. No fiduciary relationship exists between SIMPLETRADES and any subscriber or user of its Services.

Section 03

Absolute Assumption of Financial Risk by the Subscriber

By registering for, accessing, interacting with, or maintaining an active subscription to the Services, you explicitly and irrevocably declare your full legal acknowledgment and acceptance of the following:

Options, equities, futures, and all other financial derivatives trading are characterized by massive inherent volatility, extreme price fluctuation, and material structural leverage risks. The total and complete loss of all invested principal capital is a real and plausible outcome of any trading activity.

Every decision to initiate, modify, or close an options or stock order constitutes an independent financial action executed solely at your discretion and on your responsibility. You bear absolute and exclusive responsibility for your own analytical research, due diligence, risk management boundaries, position sizing decisions, and all order entry configurations.

SIMPLETRADES, its officers, principals, employees, contractors, affiliates, content contributors, and software architects accept zero accountability for any real or perceived financial capital depreciation, operational trading losses, catastrophic portfolio drawdowns, margin calls executed against personal or institutional accounts, or any consequential, incidental, or punitive financial damages whatsoever.

Section 04

No Performance Warranties or Historical Mirroring

Past performance records, historical win-rate metrics, backtested structural simulations, or hypothetical scenarios displayed within any marketing literature, platform interface, training modules, or promotional materials do not, in any capacity, guarantee, promise, imply, or serve as a reliable predictive baseline for future market returns, trade execution outcomes, or subscription profitability.

Actual current market events change rapidly, unpredictably, and are subject to exogenous macro forces, regulatory shifts, liquidity crises, geopolitical events, and systemic market dislocations that are entirely beyond the control or predictive capability of any analytical system or human operator.

SIMPLETRADES presents no warranties, express or implied, that the structured signals, technical indicators, options flow data, or underlying proprietary data matrices will achieve sustained profitability, avoid structural financial drawdowns, or accurately replicate the performance metrics of any historical backtest, simulated portfolio, or third-party benchmark index.

Section 05

Market Volatility, Liquidity Risk & Execution Risk

Trading in financial markets, particularly in options and leveraged equity instruments, involves execution risk, slippage, bid-ask spread costs, liquidity constraints, and technological latency that may materially impact the outcome of any trade relative to the price levels referenced in any signal or alert issued through the Services.

Signal prices and parameters are provided as analytical reference points at the time of issuance and are subject to immediate change based on dynamic market conditions. SIMPLETRADES makes no representation that any subscriber will be able to enter or exit any position at the precise prices or parameters referenced in any alert, analysis, or recommendation.

Trading halts, circuit breakers, after-hours illiquidity, earnings blackout periods, and other market structure events may prevent the execution of orders at or near any published signal levels. All subscribers must independently verify current market conditions and consult with a licensed financial professional before acting on any information provided through the Services.

Section 06

Regulatory Compliance & Jurisdictional Limitations

The Services are intended for use solely by residents and citizens of the United States of America who are of legal age to enter into binding financial agreements under applicable federal and state law. SIMPLETRADES makes no representation that the Services are appropriate or legally permissible for use in any jurisdiction outside the United States.

Users accessing the Services from outside the United States do so at their own risk and are solely responsible for compliance with all applicable local laws, financial regulations, and governmental or regulatory authority requirements governing the receipt and use of financial information and trading signals in their respective jurisdictions.

SIMPLETRADES reserves the right to restrict, modify, or terminate access to the Services for any user, subscriber, or geographic region at any time and without prior notice, in its sole and absolute discretion.

Acknowledgment of Terms

By continuing to access, browse, or use any portion of the SIMPLETRADES platform, including, but not limited to, registering an account, initiating a subscription, or viewing any signal or analysis, you unconditionally acknowledge that you have read, understood, and agreed to all terms set forth in this disclaimer in their entirety.
